Fernando Torrente

Fernando Torrente is regarded as a reference lawyer in commercial law (corporate finance) in Spain and has extensive experience in mergers and acquisitions (public-takeover bids and their defense and private M&A), private-equity joint ventures, the capital market (flotations, issue and placement of securities, initial public offerings and subscription offerings), corporate law and corporate contracts.

He is the author of several legal publications, such as Las Opas competidoras: algunas aclaraciones pendientes (Competing takeover bids: some pending questions), La opción green shoe en el derecho español (The green shoe option in Spanish law) and Revista General del Derecho 1997 (General Legal Journal 1997).

He has recently published a Chapter (jointly with the Cuatrecasas partner Javier Carvajal) in the book Take over bids regulation. (Civitas. Madrid. 2009), commenting article 29 of the Take over bids regulation about optional breakthrough regime for defensive measures against takeover bids.
