Miguel Trías

Mr. Trías has extensive experience in company acquisitions, leveraged and management buyouts, mergers and spin-offs, take-over bids, joint ventures and other business cooperation agreements, as well as in financing, restructuring and liability-restructuring projects. He has developed solid experience in various areas of corporate law, business agreements (franchise, distribution, and manufacturing agreements) and real estate transactions, participating in court and arbitration proceedings related with these areas.

A practicing lawyer since 1981, he is managing partner of the Barcelona office of Cuatrecasas, Gonçalves Pereira, which he joined in 2005 after developing his career at Jausás (1981–1983), Bufete & Asociados (1983–1986), Mazars (1987–1990) and Landwell PwC (1990–2004).

A professor of corporate law at “ESADE”, he was dean of its law school from 1997 to 2001, and is also secretary of the boards of directors of several companies. He is the author of several books, including Régimen jurídico y tributario del capital riesgo en España (The legal and tax system of venture capital in Spain), Marcial Pons, 2006; Los inversores Institucionales y el Gobierno de las Grandes Sociedades (Institutional investors and the governance of large companies), McGraw Hill, 1997; Las operaciones societarias de Modificación Estructural (Corporate structural modification transactions), Tirant lo Blanc, 2000; La empresa Familiar: estructuras jurídicas y de gestión (Family businesses: legal and management structures), Planeta, 1999; and of several articles in legal journals on corporate law, corporate governance and corporate finance.

He is chairman of Esade Alumni, ESADE’s alumni association.
