Cuatrecasas has advised the Cotemar Group on obtaining authorization from the Mexican National Hydrocarbons Commission (CNH) to change the corporate control of its subsidiary Servicios de Extracción Petrolera Lifting de México, S.A. de C.V. (“Lifting”), after a corporate restructuring of the group.

The two-stage legal advisory services consisted of first drafting the necessary documents to transfer Lifting’s shares, owned by Cotemar, S.A. de C.V. to Grupo Cotenergy, S.A.P.I. de C.V., another of the group’s subsidiaries. This was followed by preparing the documentation to apply for the CNH’s authorization to implement the transfer. Cuatrecasas represented and accompanied the company throughout the process.

Cuatrecasas Energy and Infrastructure partner and specialist, Marco de la Peña, highlights that “this transaction allowed the Cotemar Group, advised and accompanied by Cuatrecasas Mexico, to successfully carry out Lifting’s change of control process, adding value to its corporate restructuring.”

The advisory team was led by Marco de la Peña, managing partner of the Cuatrecasas Energy and Natural Resources Practice in Mexico, with the collaboration of Elías Gallardo, Jesús Alejandro Cortés and Francisco de Rosenzweig.
