SubscribeCuatrecasas has advised Amper on the signing of a binding agreement with the fund manager Nazca Capital for the total acquisition of the Teltronic Group, a leader in the field of defense and security communications. The total approximate value of the transaction could reach €225 million.
In addition to responding to the search for a stable and sustained collaboration between both companies, the transaction is decisive in positioning Amper as a relevant player in the defense industry, contributing to the implementation of Spain's Defense and Security Strategy and to its autonomy.
Once the process is complete, Amper will integrate Teltronic’s capabilities within a Spanish company that holds a prominent “Tier 1” position in Defense and National Security, utilizing its own dual-use technologies. Amper will establish itself as a leader in Spain in the field of defense and security communications and a key player in Europe.
From a technological, industrial, and geographical point of view, the transaction is also expected to generate significant commercial, technological, and operational synergies, consolidate Amper's outstanding position in key markets such as Brazil and Mexico, and allow its access to others such as the United States and Canada.
Leader in dual-use technological capabilities
Amper, a business group with 70 years of history, 40 of them listed on the Spanish Stock Market, has a strong international presence in over 20 countries. It is a leader in dual-use technological and industrial capabilities for Defense and National Security, and the energy and sustainability markets.
The Cuatrecasas advisory team was made up of lawyers Roger Freixes and Santiago Bayo (Corporate); Alejandro Auset (Public Law); and Martí Adroer (Tax). Roger Freixes and Santiago Bayo stated: "This extremely sophisticated transaction, which mixes elements of both private and public M&A, with multiple jurisdictions, is a demonstration of the dynamism and vitality of the Spanish dual-use technology industry."
