SubscribeCuatrecasas advised Indra Group (“Indra”), leading global company in the defense, aerospace and advanced technologies sectors, on entering into an agreement with European fund Waterland Private Equity for the divestment of Minsait Business Consulting (“MBC”), Minsait’s strategic business consulting division.
The agreement includes the ALG and NAE brands, and the transfer of approximately 1,700 employees, mainly based in Spain and Mexico. Indra will keep Minsait’s remaining businesses.
The transaction, aligned with the group's strategic plan, fits in with the group’s firm belief that, to drive its transformation forward, it is key to find energy, investment and management in areas that are truly strategic for the group’s future.
In this way, Indra will be able to redirect resources toward the priorities defining its new phase: strengthening its core businesses (defense, space, air traffic, mobility, Indramin and Minsait), as well as driving industrial capacities and advanced technologies, including cyberdefense, radars, anti-drone systems, unmanned aerial vehicles, satellites and space technology, artificial intelligence, cloud, cybersecurity and quantum computing.
The team handling the advisory service was made up of Mariano Ucar, Pedro López-Dóriga and Estela Castillo (Corporate). Mariano Ucar said the following about the transaction: “We enjoyed working on this due to the complexity of the structuring. We are grateful to the Indra team for requesting our help with this.”
