SubscribeCuatrecasas has advised HMS Industrial Networks, S.L. on launching a takeover bid for all shares of Robot, S.A., a company listed on BME Growth specializing in the design, manufacture, and installation of smart building management systems.
The process was structured to support the total acquisition of Robot, with the aim of ensuring the success of the offer and delisting Robot, while safeguarding the rights of the listed company’s minority shareholders.
The integration will strengthen HMS’s position in the smart building industry, where its offering currently focuses on gateways for monitoring and controlling HVAC equipment. The products that HMS will add with the acquisition will allow it to expand its portfolio, offer additional services to its customer base, and present a specialized value proposition for hotels that is positioned higher in the value chain.
The Cuatrecasas team advising on the transaction was made up of Roger Freixes and Alejandro Ramón from the Corporate Practice. Commenting on the advice, Roger Freixes said: “When structuring and successfully executing a takeover bid in an alternative stock market such as BME Growth, it is essential to reach a prior agreement with the controlling shareholders of the target company, given the lighter regulatory framework that characterizes these markets. It is also critical to design an offer process with all the guarantees, facilitating the acquisition of control while respecting the rights of minority shareholders.”
