SubscribeCuatrecasas has advised the Wiese Group and Frialsa Mexico on closing the transfer of the entire issued share capital of Frío Alimentos y Logística S.A. (Frialsa Perú) to Emergent Cold LatAm. Several months earlier, Peru’s National Institute for the Defense of Free Competition and the Protection of Intellectual Property (INDECOPI) approved the first stage of this transaction, a procedure where Cuatrecasas also advised both parties.
The Wiese Group is a leading holding company in Peru with a diversified investment portfolio. Frialsa Peru operates two modern cold storage facilities in the Lima region—one in Callao and another in Lurín. Emergent Cold Latam is a temperature-controlled food storage and logistics company in Latin America.
Cuatrecasas partner and expert in corporate, M&A and private equity law, Diego Carrión, said, “We are pleased to have assisted and advised the Wiese Group and Frialsa Mexico on a transaction that marks a milestone in Peru’s logistics and storage industry. This transaction confirms the international interest in our market and the opportunities that continue to exist in our country.”
The Cuatrecasas Lima team advising on negotiating the transaction was made up of Diego Carrión, Guido Maeda and Santiago Ramírez.
