Cuatrecasas has advised A.GAIN—an international investment platform backed by IDC Network—on becoming Real Zaragoza’s majority shareholder. As part of the agreement, to ensure institutional stability and continuity of the sporting project, A.GAIN assumes responsibility for the management of the club, working closely with the existing management structure.

With extensive experience in the football industry and following months of analysis, the group approaches this new phase with commitment and professionalism. To address the challenge, A.GAIN has a sound plan, a robust management team and a working model that combines local knowledge and dedication with the highest international standards of management.

The team of lawyers advising on the transaction was led by Roberto Álvarez and Marta Máñez, and supported by Borja Álvarez (Litigation); Julio Brasa (Urban planning); Héctor Bros (Finance); Joaquín Garaulet (Real Estate); Valentín García (Labor and Employment); Rosa Gual (Restructuring); Bartolomé Sánchez and Paula Benéitez (Tax); and Claudio Hoyos (Corporate).

Roberto Álvarez commented: “Both this transaction and the one we closed a few weeks ago involving Valencia FC, confirm the appeal of LaLiga and Spanish football clubs to international investors and position the Spanish market among Europe’s most active in terms of deal-making, if not the most active.”

Marta Máñez also said: “The evolution of the M&A market in Spanish football is leading to transactions of increasing technical complexity, which can only be tackled by multidisciplinary teams with in-depth knowledge of both the legal aspects and the sector.”
