Cuatrecasas has advised plastic, reconstructive and aesthetic surgery clinics—Clínica Institute Dr. Paloma, Porcuna&DeBenito and Clínica Redondo Camacho—on an integration and reinvestment project in a new holding company led by Magnum Industrial Partners. They also advised Clínica Peñas and Ivan Mañero Clinic on entering into the corresponding shareholders agreement.
The transaction will enable the clinics to consolidate into a new plastic, reconstructive and aesthetic surgery and medicine group, together with other renowned surgeons in the sector. Moreover, their participation will not be limited to continuing their professional activity, but they will participate as partners in the project.
“The main challenge came from aligning the parties’ willingness in a project that, although common, involved different transactions, each with its own complexity and singularities,” highlighted Elena Cuatrecasas, Corporate partner and lead transaction counsel. “Regulatory and taxation aspects also played a key role in the advisory process, due to the type of business,” she added.
The Cuatrecasas advisory team was formed by lawyers Julene Areitio, Xavier Oriach, Adolfo Rovira and Oriol Oliva.
