CUF acquires 75% of HPA Saúde Group following approval from Autoridade da Concorrência

Cuatrecasas has advised CUF S.A. on the process of obtaining the necessary regulatory authorizations—particularly before the Autoridade da Concorrência (“AdC”)—to acquire a 75% stake in Sociedade Hospital Particular do Algarve (Grupo HPA Saúde). The AdC's decision not to oppose the application was announced last week and is accompanied by a series of commitments established between CUF and the regulator.

Following the signing, Cuatrecasas conducted due diligence on the HPA Saúde Group as a whole. At the same time, the procedure to notify the AdC of the transaction was initiated, which allowed the regulator's decision to be obtained at the beginning of last week. The completion of this transaction allows CUF to enter regions where it was not previously present, which will boost healthcare in those regions for the benefit of the populations concerned.

The Cuatrecasas advisory team was led by Corporate and M&A lawyers Alexandra M. Martins and Luís Miguel Cortes Martins, with the support of Mariana Brazão, from the same practice area. At this stage, the advice provided by the Competition and European Union Law team, coordinated by Pedro Marques Bom and including Miguel Pena Machete, António Souto Moura and Mariana Fernandes Cerejo, has been fundamental. The Life Sciences and Healthcare team, coordinated by Joana Silveira Botelho, with the collaboration of Mafalda Maló Hipólito, has also participated.

Founded in 1996, when the Hospital Privado do Algarve was established in Alvor, the HPA Saúde Group consists of 5 hospitals and 17 clinics and has a greater presence in southern Portugal, in the Algarve and Alentejo areas, as well as in the Autonomous Region of Madeira.
