Cuatrecasas advises Inversiones CMPC on issuance of first hybrid, green, and social corporate bond in Chile

SubscribeCuatrecasas has advised Inversiones CMPC on registering with the Securities Registry of the Financial Market Commission (CMF) and the subsequent placement in Chile of the first hybrid, green, and social corporate bond, for $405.8 million.
The firm's Corporate and Finance team, made up of Macarena Ravinet, Isidora Opazo, and Victoria Herrera, supported the company throughout all stages of the transaction. The advisory services included the drafting and structuring of the issuance agreements and supplementary deeds, adapting the clauses to the requirements of a hybrid instrument and ensuring compliance with applicable regulations.
The transaction was carried out using an innovative financial instrument that combines debt and equity features, and also incorporates sustainability criteria by being classified as a green and social bond. This transaction marks a milestone in the development of the national capital market, offering a pioneering alternative for issuers and investors.

With this transaction, CMPC becomes the first company in Chile to issue a hybrid, green, and social corporate bond, paving the way for the incorporation of innovative and sustainable financial instruments into the local capital market.
