SubscribeCuatrecasas has assisted Addi—a leading Colombian fintech in the buy now, pay later segment, which has evolved into a comprehensive payments, commerce, logistics, and banking platform—with the closing of several funding transactions that, in aggregate, exceed USD 630 million and were backed by some of the world’s most prominent financial institutions.
The transactions stand out not only for their volume, but also for what they represent for the Colombian market. One of the most significant was a USD 150 million line of credit led by J.P. Morgan together with Fasanara Capital, which became the first warehouse structure that J.P. Morgan executed for a Colombian company, a milestone that opens doors for the entire fintech ecosystem in the region.
This was followed by a portfolio purchase transaction for COP 174 billion (USD 50 million) with Goldman Sachs International Bank, the first transaction of its kind that the institution carried out in the country, as recently announced by the company.
As part of this ongoing advice, we participated in the extension of financing granted by Goldman Sachs Bank USA and Fasanara Investments, which reached COP 939.7 billion (approximately USD 235 million); financing from BBVA Spark for COP 151 billion (approximately USD 35 million); a revolving credit facility with BBVA Colombia for COP 12 billion (USD 3 million); and USD 150 million in financing through funds managed by Victory Park Management, including a tranche provided by NB Asset-Based Credit Fund.
These transactions confirm the confidence of international and domestic banks in Addi’s model, a company that, after four consecutive quarters of profitability, has exceeded USD 150 million in annual recurring revenue (ARR).
Through its work in financial innovation, Addi has brought digital credit solutions to over 3 million clients, with 55,000 partner merchants present in 1,034 municipalities across Colombia. This means access to credit and financial empowerment in places where traditional banking has not reached. As a result of these efforts, Fast Company included Addi in the Top 3 of the “World’s Most Innovative Companies 2026,” a recognition that validates a user-centered business model built to scale responsibly.
Juan Carlos Puentes, Finance partner at the Bogotá office and lead counsel of the advisory team on these transactions, said: “Over the years, we have advised Addi on various transactions that have enabled it to scale its business model sustainably. We congratulate our client and the local and international financiers who have trusted in the company’s ability to facilitate access to credit for millions of Colombians through agile and secure digital solutions.”
This far-reaching work reflects that Colombia is undergoing a profound transformation in the way millions of people access credit, and companies like Addi show that financial innovation and social inclusion go hand in hand. At Cuatrecasas, we are proud to be part of this story.
The multidisciplinary Cuatrecasas team involved in these advisory services was led by Juan Carlos Puentes, with support from Lorenzo Lizarralde, Verónica Hernández, Juanita Calderón, Daniel Valderrama, Pablo Amorocho, Juliana Álvarez, María Garavito, and Susana Liévano (Finance); Rafael Marulanda, Alejandro Manrique, and María Camila Solano (Corporate); and Jaime Vargas, Ariana Fernández, and Oswaldo Pacheco (Tax).
