SubscribeCuatrecasas has advised Transfesa—the leading Spanish company in the rail industry, majority owned by Deutsche Bahn Cargo—on selling its subsidiary Semat to French operator Groupe CAT.
The transaction is part of the simplification process of Transfesa's business structure, and is in line with its strategy to focus resources and abilities on the core business, particularly in rail freight transport for the automotive sector.
It is expected to be completed this summer and is subject to approval from the Deutsche Bahn Group's corporate bodies, Germany’s Federal Ministry of Digitalization and Transport, and Transfesa Logistics’ shareholders meeting.
The Cuatrecasas team advising on the transaction was made up of lawyers Kai Christian Fischer, Irene Moreno-Tapia, Jesús García and Jordi Vergoni.
