SubscribeCuatrecasas advised Airbus on the structuring, negotiation, and completion of the joint venture with Critical Software to establish a new company – Critical FlyTech – that will focus on developing embedded software and services for aerospace applications for Airbus and its affiliates.
The joint venture will be 51% owned by Airbus and 49% by Critical Software. It will support Airbus’s leadership in the aerospace sector by designing and developing high-assurance, mission-critical solutions and certifiable software across several domains, including avionics, cabin systems, and connectivity.
The Cuatrecasas advisory team was led by Corporate and M&A co-coordinator lawyer Mariana Norton dos Reis, and included Sofia Alves and Megan Hackney from the same practice area; José Maria Cabral Sacadura (Tax); Pedro Marques Bom and António Souto Moura (Competition and European Union Law); Joana Mota Agostinho (Intellectual Property, Technology and Telecommunications); and Sandra Lima da Silveira (Labor Law).

The joint venture reinforces Airbus’ investment in the country and combines Airbus extensive expertise in aerospace with Critical Software’s proven track record in delivering safe, reliable embedded systems.
Critical FlyTech, headquartered in Coimbra, is expected to start with more than 100 employees, expanding to around 300 by the end of 2028.
