SubscribeCuatrecasas advised AMCNO – Proyectos Y Inversiones on negotiations to acquire 90% of Associação Desportiva Sanjoanense – Futebol SAD’s share capital and transfer the operating rights for the Conde Dias Garcia Stadium in São João da Madeira, along with other associated sports facilities, to the SAD.
The acquisition was made from the Associação Desportiva Sanjoanense club, which founded the senior men’s football team that currently plays in the third division of the Portuguese league.
AMCNO now holds a qualifying stake in Sanjoanense – Futebol SAD. This ensures its organizational solvency by making a substantial investment and by obtaining the rights to develop a local sports partnership and development project focused on ambition, sustainability and future prospects.
The multidisciplinary team from Cuatrecasas advising on this transaction, part of the cross-practice group dedicated to sports and entertainment (with extensive experience in M&As involving sports companies), was led by Rafael Lucas Pires, coordinator of the Corporate and M&A Practice Area. The team included Rodrigo Bastos Peixoto and Tomás Roxo from the same practice area. Other team members were Rui Vaz Pereira and Victor Hugo Ventura, from the Labor and Employment Practice Area; Carlota Januário and Sérgio Fagundes Conceição, from the Real Estate and Town Planning Practice Area; and Sónia Queiróz Vaz, from the Data Protection, Intellectual and Industrial Property Practice Area.
Rafael Lucas Pires commented, “This was a very interesting transaction, involving a certain degree of complexity, particularly in terms of compliance with the specific requirements of the legal framework for sports companies and the cross-disciplinary nature of the legal areas involved.”
AMCNO is managed by businessperson Jaison Caro Tafur. He has experience in the energy sector and has focused on soccer since 2022, establishing two training clubs in Colombia to train and promote soccer players globally.
